If you read nothing else, read this paragraph. Sociali (“Sociali" or “We" or “Our") is a messaging platform. Sociali is not a taxi service or any form of a transport provider. Although We will do Our best to ensure the security, privacy and safety of our Users and their related (in the Sociali context) family members, We are in no way liable for any damages, harm, problems, hardship, or any issue arising from the use of Sociali’s services. Sociali does not guarantee transport, or a driver, or the delivery of messages, even within our platform. We are not liable for the safety or security of the driver, passenger(s), vehicle, surroundings, property, or anything related to the use of Sociali’s services. We do not insure anyone or anything. We are not liable for any privacy issues arising from the use of Sociali’s services. And, by becoming a member, you agree to these Terms & Conditions (above and the rest below). Don’t get spooked, this is standard T&C disclaimer stuff that all service providers have, if not much more.

And now the standard T&C stuff…

The services offered by Sociali ("Sociali" or "we") include the Sociali mobile app (iOS, Android and other platforms), tablet apps, website at http://www.Sociali.us/ as well as any other related websites, widgets, or other distribution channels we may, from time to time, operate (collectively, the "Sociali Platform") and any other features, content, services or applications offered, from time to time, by Sociali. This Terms of Use Agreement sets forth the legally binding terms for your use of the Sociali. By using the Sociali Platform, you agree to be bound by this Agreement, whether you are a “Visitor" (which means that you simply browse a Sociali Website) or you are a “Member" (which means that you have signed up with Sociali.us). The term “User" refers to a Visitor or a Member. You are only authorized to use the Sociali Platform (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to the terms of this Agreement. Please read this Agreement carefully and save it. If you do not agree with it, you should leave the Sociali Platform and discontinue use of the Sociali Platform immediately. If you wish to become a Member, communicate with Members and make use of the Sociali Platform, you must read this Agreement and indicate your acceptance of its terms during the registration process. Sociali may modify this Agreement from time to time and any such modification will be effective upon its posting by Sociali on the Sociali Platform. You agree to be bound to any changes to this Agreement when you use the Sociali Platform after any such modification is posted. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes. By registering as a Member, you authorize Sociali to collect and display information about you that is publicly displayed elsewhere on the Internet. You understand that if you wish Sociali to stop displaying such information, you may make your Contact page private or terminate your membership. You further understand that Sociali cannot control the activities of third parties who may cache copies of your Contact page while it is publicly displayed, and that your information may remain on display on such cached pages after you make your Contact page private or terminate your Membership.

  1. You Must Be Eligible to use Our Services.

    Use of and Membership in the Sociali Platform is void where prohibited. By using the Sociali Platform, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 18 years of age or older; and (d) your use of the Sociali Platform does not violate any applicable law or regulation. Your profile may be deleted and your Membership may be terminated without warning, if we suspect that you are less than 18 years of age.

  2. Term

    This Agreement will remain in full force and effect while you use the Sociali Platform or are a User. You may terminate your membership at any time, for any reason, by  visiting our Support site. Sociali may terminate your membership at any time, without warning.

  3. Password

    When you sign up to become a Member, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify Sociali immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

  4. Commercial Use of Sociali

    The Sociali Platform are for the personal use of Users only. Sociali Members may use the Sociali Platform for one-to-one commercial communications with their existing customers. Sociali Members may also make general commercial announcements via postings on their Contact Page or any other area of the Services expressly authorized by Sociali. All other unsolicited advertising and commercial use is prohibited. Illegal and/or unauthorized use of the Sociali Platform, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Sociali Platform is strictly prohibited. Commercial advertisements, affiliate links, and other forms of solicitation in violation of this provision may be removed from posted content without notice and may result in termination of Membership privileges. Appropriate legal action may be taken for any illegal or unauthorized use of the Sociali Platform.

  5. Proprietary Rights in Content on Sociali Platform

    Sociali claims all ownership rights for any content posted to the Sociali Platform by the extended User community, such as text, files, images, photos, video, sounds, musical works, or any other materials that you post to the Sociali Platform, as well as any content generated by the Sociali Platform itself. After posting your Content to the Sociali Platform, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose. By publishing or posting any Content on or through the Sociali Platform, you hereby grant to Sociali a limited license to use, modify, publicly perform, publicly display, publish, reproduce, distribute, list information regarding, edit, translate, and make derivative works of such Content and your name, voice, and/or likeness as contained in such Content, in whole or in part, and in any form, media or technology, whether now known or hereafter developed for use solely in connection with the Sociali Platform.

    Without this license, Sociali would be unable to provide the Sociali Platform. The license you grant to Sociali is fully-paid and royalty-free, sub licensable and worldwide. This license will terminate at the time you remove your Content from the Sociali Platform, but you understand that your Content may remain on Sociali pages cached by third parties, or archived on Sociali servers, after you remove it from the Service. The license does not grant Sociali the right to sell your Content, nor does the license grant Sociali the right to distribute your Content outside of the Sociali Platform.

    You represent and warrant that: (i) you own the Content posted by you on or through the Sociali Platform or otherwise have the right to grant the license set forth in this section, and (ii) the posting of your Content on or through the Sociali Platform does not violate the privacy rights, publicity rights, intellectual property rights, contract rights or any other rights of any third party.

    The Sociali Platform contain proprietary content that is protected by copyright, trademark, patent, trade secret and other laws in the United States and around the world. Sociali own and retain all rights in the Sociali Content and the Sociali Platform. Sociali hereby grants you a limited, revocable, non-sub-licensable license to reproduce and display the Sociali Content solely for your personal use in connection with viewing the Sociali Platform and using the Sociali Platform.

  6. Content Posted

    Please choose carefully the content you post on the Sociali Platform and that you provide to other Users. You may not use Sociali Platform or Sociali Platform to post, disseminate or communicate any obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter. Despite this prohibition, content communicated by other Users may contain inaccurate, inappropriate, offensive or sexually explicit material, products or services, and Sociali assumes no responsibility or liability for this material. If you become aware of misuse of the Sociali Platform, please contact us in writing by visiting our Support site.

    Sociali may delete any Content that in the sole judgment of Sociali violates this Agreement or that may be offensive or illegal, or violate the rights, harm, or threaten the safety of any person. Sociali assume no responsibility for monitoring the Sociali Platform for inappropriate Content or conduct. If, at any time, Sociali chooses, in its sole discretion, to monitor the Sociali Platform, Sociali nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the User submitting any such Content.

    You are solely responsible for the Content that you post on or through any of the Sociali Platform, and any material or information that you transmit to other Members and for your interactions with other Users. Sociali do not endorse and has no control over the Content. Content is not necessarily reviewed by Sociali prior to posting and does not necessarily reflect the opinions or policies of Sociali. Sociali make no warranties, express or implied, as to the Content or to the accuracy and reliability of the Content or any material or information that you transmit to, or receive from, other Members.

  7. Behave Yourself

    The following is a partial list of the kind of Content that is illegal or prohibited to post on or through the Sociali Platform. Sociali reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of the Sociali Platform at any time, for any or no reason, with or without prior notice, and without liability. Sociali further reserve the right to investigate and take appropriate legal action against anyone who, in Sociali’s sole discretion, violates this provision. Prohibited Content includes, but is not limited to; Content that in the sole discretion of Sociali:

    1. Contains any information or content that we deem to be unlawful, harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, threatening, or otherwise objectionable;
    2. Contains any information or content that is illegal;
    3. Contains any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships;
    4. Exploits people in a sexual or violent manner;
    5. Contains nudity, violence, or offensive subject matter or contains a link to an adult website;
    6. Promotes information that you know is misleading or promotes illegal activities or conduct that is abusive, threatening, defamatory or libelous;
    7. Promotes an illegal or unauthorized copy of another person’s copyrighted work, such as providing pirated computer programs to them, providing information to circumvent manufacture-installed copy-protect devices;
    8. Involves the transmission of "junk mail," "chain letters", instant messaging, "spamming";
    9. Furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone’s privacy;
    10. Solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;
    11. Involves unauthorized commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, or pyramid schemes; or
    12. Includes a photograph of another person that you have posted without that person’s consent;
    13. Criminal or tortuous activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets;
    14. Covering or obscuring the banner advertisements on your personal profile page (if any), or any Sociali page via HTML/CSS or any other means;
    15. Any automated use of the system, such as using scripts to make calls or send messages;
    16. Interfering with, disrupting, or creating an undue burden on the Sociali Platform or the networks or services connected to the Sociali Platform;
    17. Attempting to impersonate another Member or person or to register for multiple accounts;
    18. Copying the code for the widget or link of another Sociali Member and posting it anywhere without the Member’s prior approval;
    19. Using the account, username, or password of another Member at any time or disclosing your password to any third party or permitting any third party to access your account;
    20. Selling or otherwise transferring your profile;
    21. Using any information obtained from the Sociali Platform in order to harass, abuse, or harm another person; or
    22. Using the Sociali Platform in a manner inconsistent with any and all applicable laws and regulations.
  8. Your Communications and Messages on Sociali

    The Sociali Platform include certain services that may be available via your mobile phone such as placing or receiving calls, receiving text messages or interacting with Sociali-related WAP pages to reply to text messages (collectively, the “Mobile Services”). Regardless of whether we charge a fee for the Mobile Services, your mobile carrier’s normal messaging, calling, data and other rates and fees will still apply. Accessing or using certain Mobile Services may be prohibited or restricted by your carrier, and certain Mobile Services may not work with certain carriers, plans or devices. You should check with your carrier to find out if the Mobile Services are available for you, and what restrictions, if any, may be applicable to your use of such Mobile Services. By using the Mobile Services, you agree that we may communicate with you via SMS, MMS, text message or other electronic means to your mobile device and that certain information about your usage of the Mobile Services may be communicated to us.

    You understand and agree that Sociali will make reasonable efforts to retain your messages on Sociali according to Sociali’s then-current retention policy. Sociali do not guarantee that it will retain your messages and assumes no liability for deletion of your messages.   9. Availability and Quality of Service

    Sociali will try to provide the Sociali Platform with minimum disruptions. However, Sociali cannot guarantee that the Sociali Platform will always function as intended. In addition, Sociali may from time to time have to suspend or impair use of the Sociali Platform in order to improve or repair them.

    Sociali is entitled to refuse, change or terminate any number allocated to you at any time for any reason, including but not limited to: (i) if you don’t comply with this Agreement, (ii) if you don’t comply with any reasonable instructions given by Sociali and/or its partners in relation to the usage of such numbers, and/or (iii) if the number is withdrawn, terminated or changed by any of Sociali’s telecommunications partners for any reason.

  10. Emergency Communications

    Under no circumstances should Sociali be used, or relied upon, to make emergency calls to hospitals, law enforcement agencies, or any other type of emergency service of any kind. If someone else uses your Sociali account, you agree that it is your responsibility to inform that user that it is not possible to make emergency communications through Sociali.

  11. Sociali Communications

    It is our policy to provide notifications, whether such notifications are required by law or are for Service related purposes, to you via email or, through conspicuous posting of such notice on our website, as determined by Sociali in its sole discretion. By providing Sociali your email address you consent to our using the email address to send you Service-related notices, including any notices required by law, in lieu of communication by postal mail. We may also use your email address to send you other messages, such as updates, user communications, newsletters, changes to features of the Service, or Sociali offers. Certain Users are also provided the option of receiving Sociali notifications on their phone through SMS messages.

  12. User Disputes

    You are solely responsible for your interactions with other Users. Sociali.us reserves the right, but has no obligation, to monitor disputes between you and other Users. We are not responsible for the conduct, whether online or offline, of any User of the Sociali Platform.

  13. Third Party Websites

    The Service, including without limitation Content created and posted by Members, may contain links to other websites. We are not responsible for the content; accuracy or opinions expressed on such websites, and such websites are in no way investigated, monitored or checked for accuracy by Sociali. Inclusion of any linked website on the Sociali Platform does not imply approval or endorsement of the linked website by Sociali. When you access these third-party sites, you do so at your own risk. We take no responsibility for third party advertisements that are posted on this Sociali Platform or through the Sociali Platform, nor do we take any responsibility for the goods or services provided by our advertisers.

  14. Limitations of Liability



    You acknowledge and agree to the following limitations of liability, to the maximum amount allowed by applicable law:

    1. Under no circumstances shall Sociali, its affiliates, or their respective officers, directors, employees or agents, be liable for:
      1. Any indirect, incidental, special, exemplary, punitive, or other consequential damages, including lost profits, lost data, personal injury, or property damage related to, arising from, in connection with, or otherwise resulting from any use of the services and/or any services and goods obtained through the services, even if Sociali is aware or has been advised of the possibility of such damages.
      2. Any damages, liability or losses arising out of:
        1. Your access to, use of, or reliance on, the services or your lack of such access or use; or
        2. Any interaction, transaction or relationship between you and any independent service rovider, even if Sociali is aware or has been advised of the possibility of such damages.
      3. Delay or failure in the services resulting from any causes beyond Sociali’s reasonable control.
      4. Any physical or emotional injury, bodily harm or death to any users, including junior account olders, as a result of or in connection with the services.
  15. Indemnity

    You hereby agree to indemnify and hold Sociali, its affiliates, its partners and their respective owners, employees, consultants, contractors harmless from any and all actual or threatened claims, demands, losses, liabilities, and expenses (including reasonable attorneys’ fees and costs of suit), arising from or in connection with your use of Sociali’s services & platform, the Sociali Materials or services or goods btained through the Services; (ii) your breach or other violation of any of the terms and conditions set forth in this Terms and Conditions Agreement; (iii) Sociali’s receipt and use of User Provided Content as authorized herein; (iv) any transaction or activities between you and any Independent Service Provider or any other third party, including any users with Sociali Accounts tied to your Sociali Account; or (v) your violation of any applicable law or regulation.

  16. Karma Points (“KPs”) earning and redemption

    You earn Karma points by fulfilling rides that other Sociali members have requested, as well as by completing some of the initial setup tasks, such as Adding family members, Importing your contacts to Connect with people you know and more (see Menu -> Karma Points for a complete list). KPs that you earn by fulfilling rides can be redeemed for real gift cards for merchants such as Walmart, Amazon, Starbucks, Dunkin Donuts and other major retailers (“conversion offer”). KPs have to be redeemed in increments of $25. Currently, 100 KPs equals $1 (aka ‘KP conversion rate’). KPs that you earn by completing setup tasks are not redeemable for gift cards. Only KPs earned by fulfilling rides are redeemable for gift cards, but all KPs can be redeemed for requesting rides. To redeem your earned KPs for gift cards simply email KPRedemption@sociali.US from your registered account email, with the subject ‘Redeem KPs’, and mention how many KPs (in increments of 2500 KPs = $25) you would like to convert to gift cards, your name and postal address, and a merchant from the list above. The gift card will be mailed to your address. Gift cards will be issued 2-4 weeks after your emailed request. Sociali reserves the right to issue or deny the gift cards. Gift cards will be issued for KPs earned by fulfilling real rides for genuine Sociali members, which involves transporting one or more passengers in a vehicle over a reasonable distance (‘ride activity’). Sociali may cross check the ride details for which KPs have been awarded, with the passenger(s) of those rides, to verify ride activity. Fraudulent ride activity or inflated ride activity or suspicious ride activity, or a misuse of the Sociali app or platform, or any activity not in accordance with the Terms & Conditions of Sociali could lead to denial of your conversion request, removal of KPs related to such inappropriate activity and even the suspension/deletion of your account. Sociali reserves the right to change or cancel this ‘KP to gift cards redemption’ option at any time without notice to anyone. For KP related questions, email info@sociali.US with the subject ‘KP Question’. This conversion offer is open while supplies last, and limited to a maximum of $50 per person per month. The conversion offer is only available for accounts based in the USA at this time, for rides offered and fulfilled in the USA only.

    By joining a Business Group (aka Provider Group or Vendor Group) you agree to allow the Business (of which you and/or your kid(s) are a member of) to share your name, email, phone number and address with Sociali.
